If is not vote on an AGM, it can be removed at any point by a –
currently imaginary – evil board. Because we already make the Foundation
stronger against hostile take-overs, we should require a vote by the
members for future boards to get rid of the measures we are installing.
Whether the Foundation is protected or not against hostile take-overs,
is something the members should decide because a hostile take-over will
take power away from them. It is not just a day-to-day decision which
would clearly fall within the responsibilities of the board.
Best regards
Michael
