Yes I saw that HOT was researching this, and inquired about sharing that with the OSMF board, which they have.

IMHO these two should be in the "should" category, because for example a requirement for one director being resident would be doable (if maybe expensive, because you would need to pay somebody locally), and the 2nd point would seem to be again too restrictive as an absolute.
