Got it! (my previous file was really broken):
It is a stack overflow exception in libpq dll:

If someone will run a debug version

we will know the point where it is invoked in osm2pgsql (but not in libpq, unfortunately)
(somewhere before commiting transaction)
I can not wait for enough time on my Core 2 Duo with 4Gb :)
