Bear in mind that OSMF is legally a company, and those rules were 
designed around the shareholder register of a company. The equivalent 
for a "company limited by guarantee" like OSMF is the register of 
members, who are the equivalent of shareholders in a "company limited by 
share capital".

Traditionally clubs and associations, like a sports club or similar, do 
not have any legal personality or status in the UK so if you want to get 
legal personality and limited liability then you need to incorporate as 
a company.
