[Osmf-talk] Question regarding circular resolutions of the board

Looking over the agenda for tomorrow's board meeting:

i noticed that the resolution:

"Accept proposed trademark license subcommittee structure"

is indicated to be accepted with 3 votes in favour (it also counts 5 
abstentions but that seems to be a typo).  The board rules of order:

https://wiki.osmfoundation.org/wiki/Board_Rules_of_Order

however say that

"The proposed resolution is accepted as soon as at least 50% of board 
members have agreed by making a clear statement to that effect on the 
board mailing list."

In my understanding three votes is less than 50 percent of the board 
members.  Am i missing something here?

(Side note: IMO it would be preferrable if votes on circulars would 
differentiate between abstentions, votes against and not participating 
in the vote)
