Yes, as it imho was the wrong paragraph to cite. The one cited actually
says, that a circular can be accepted *before* all members voted and
explains when that is.

What you're searching for is for Board Meetings you have a 50% quorum and 
need a simple majority. Found here:

> 4. The quorum is met if at least 50% of board members are present. Board 
> resolutions are carried by a simple majority of the board members present.

So I'd argue that 3 votes in favour and 5 abstains *is* a simple
majority. 

The second part comes from 7. Circular Resolutions which tells you that
non-votes will be abstains after a bit (and that's what happened here).

I'm not arguing if it was time-sensitive or not and christmas holidays
didn't help with everyone participating in that circular. Anyway, just
wanted to give my interpretation of the Rules of Order for that case.

And I wanted to note, that in general I find it quite usefull to have
such a rule as it counteracts (theoretical) cases of high inactivity
(e.g. assume board meetings with 4 members missing -> no quorum).
