I'm not sure I understand this definition of potential CoI. Couldn't this widen out to just about any issue under the sun? Or put another way, how does it practically differ from plain old CoI? And do how we determine the "interests" of OSMF and another organization?

Declare it to the Board when it possibly arises, and decide with the Board how to handle it.

Depends on the situation.
By default, it's not always a problem to take part in discussions where a CoI is present. I do think it's fair that key points are made public, if it's part of a Board internal discussion.
Some discussions should clearly mean recusal. For instance, if Board was deliberating on awarding a contract, and a Board member had interest in a bid.

Yes. Should be noted in relevant agenda items.

We really need to finalize a written policy on Conflict of Interest. Then we aren't relying on "common sense", and it's clear to all of us what constitutes a CoI, and how we handle it.

At the moment, we have only this line in the Board rules of orderhttps://wiki.osmfoundation.org/wiki/Board_Rules_of_Order
"When a board member would be influenced by a conflict of interest with respect to a decision, they will recuse themselves from voting."

Myself personally, I work at Mapbox and have a Trustee position with Map Kibera. This does mean CoI is possible. One notable occurrence was with the organised editing guidelines, and I recused from voting.
I do spend time on OSMF stuff at work. It's at my choosing, my time is self directed. This is done without any direction or expectations by anyone.

Further, I have some more specific questions for Steve that I am
interested in:
1. What is wrong with the current petition regarding term limits?
2. How many board meetings did you attend within the last three
years? And what was the painful part in those?
3. To help me scope your concern: What percentage of OSM tiles
are served to third parties today?
4. Do you know why OWG is kept short on budget and did you talk
with them if and how they could use that extra money?
