Short answer is that there's no good automatic way, it's a big and
tedious task.  But I like the French CLC approach: importing verbatim
everything that doesn't come, say, 200m of an existing OSM node should
save 90% of the manual work.

Note that there may be more things that need to be adapted to OSM
standards by a human mapper before the import, beside the conflicts
with existing data.
