[OHM] 501(c3) comments

i can speak, a little bit, to the 501(c)3 process.

1) we would probably want to list ourselves as an
educational organization. this is, i think what OSM US
is working on for themselves.

2) in the US, you need to pick a jurisdiction. HOT and
OSM US are both incorporated in DC. Delaware is
common for various reasons relating to corporate
law. you don't necessarily need a board member who
lives in the jurisdiction, you can retain an agent.

3) the process is that you incorporate, and then operate
like a 501(c)3 for a while until the IRS approves the
designation. this went pretty quickly for HOT, it's taking
a while for OSM US.

4) there are bylaws issues. OSM US is going to have
to revise their bylaws to finish the process. i am not
conversant in the details, but i can ask.
